Business terms
Last updated: 16 October 2026
These terms govern the relationship between CLOUDIFY CONSULTING S.L.U. (tax number L-716939-P, "Profitand") and participating businesses ("the Business"). By registering the business you accept them on its behalf and confirm you're authorised to do so.
1. Purpose
The Business sells Profitand surprise bags made up of its daily food surplus, which Profitand resells to consumers through its app. The Business prepares the bags and hands them to customers at its premises.
2. Registration and approval
- Registration is free. Profitand checks the details (company name, tax number, premises) before activating the Business and may refuse or suspend registration if the details are incorrect.
- The Business must keep its details up to date, including the IBAN for payouts.
3. Posting bags
- The Business sets the selling price (IGI included), daily quantity, pickup window and description of each bag.
- The real value of the products must be at least double the selling price.
- The Business must accurately declare all allergens each bag may contain, in line with food information rules.
- It may pause or change bags at any time. Price changes don't affect existing reservations.
4. The Business's obligations
- Comply with food hygiene and safety rules, and only hand over products fit for consumption (never past their use-by date).
- Have bags ready and hand them over during the pickup window to anyone presenting a valid QR code, confirming it in the app.
- Treat customer data it has access to (name and order number) confidentially and use it only to hand over the bag.
- Give as much notice as possible if it can't prepare a bag, cancelling it from the dashboard.
5. Prices, commission and payouts
- For each bag sold, Profitand keeps a 20% commission on the selling price (or as agreed in writing) plus the actual card payment cost. The rest is the Business's net amount.
- First month commission-free: for 30 days after activation, Profitand's commission doesn't apply; the payment cost is still passed on.
- Discounts, credit and promotions Profitand offers consumers are borne by Profitand and don't reduce the Business's net amount.
- Payouts: at the end of each period (monthly by default), Profitand makes the sales statement available in the dashboard. The Business issues an invoice to Profitand for the net amount, which Profitand pays by bank transfer within 30 days of the end of the period.
- Bags not collected through the customer's fault are still paid to the Business.
- If the Business cancels a bag or there's a justified complaint attributable to the Business (unfit product, bag not handed over…), the amount isn't paid or is deducted from the next payout.
- Profitand may offer an optional annual plan with specific commercial terms, agreed in writing.
6. Quality and incidents
Profitand may temporarily or permanently suspend the Business in the event of repeated complaints, breach of food rules or of these terms, or consistently negative reviews, after notifying and hearing the Business, except in serious cases.
7. Data protection
Profitand is the controller of consumer data. The Business only receives the data strictly needed to hand over the bag and undertakes not to use it for any other purpose or keep it. The data of the Business and its contacts is processed under the Privacy policy.
8. Image and brand
The Business authorises Profitand to display its trading name, logo and address in the app and in promotional materials for the service. Profitand authorises the Business to use the "A business that saves food" certificate and materials provided while it participates.
9. Term and termination
These terms are indefinite. The Business may leave at any time, with no minimum term; pending reservations must be honoured or will be refunded to customers. Outstanding payouts will be made within the usual period.
10. Liability
Each party is liable for its own breaches. The Business is responsible for the safety and quality of its products and for the allergen information it declares, and indemnifies Profitand against any resulting third-party claims.
11. Governing law
Andorran law. The courts of the Principality of Andorra have jurisdiction.
